BY-LAWS
OF
Minnesota Amateur Radio Technical Society
Article I: Board of Directors
The Board of Directors shall consist of the officers of this club
Article II: Officers
The officers in this club shall be a President, Vice-President, Secretary, Treasurer, and an At-Large board member.
Election
The officers of this club shall be elected for a term of two years by a majority vote of the members present at the annual meeting in December of each year.
Vacancies
Vacancies occurring between elections may be filled by the Board of Directors following the withdrawal or resignation of an officer.
Eligibility
In order to hold an office an individual must be a member in good standing.
Resignation
Any officer may resign his/her position in writing at which time all records and assets of the club will be turned over to the President or Vice President.
Removal of Officers
Officers may be removed from office for cause by a majority vote of the Board of Directors, upon guidance of the membership.
Article III: Duties of Officers
President
The President shall preside at all meetings, and conduct them according to the rules adopted.
He/she shall enforce due observance of the Articles and By-Laws; decide all questions of order; sign all official documents adopted by the club, and perform all other duties pertaining to the office of President.
Other duties as assigned by the Board of Directors.
Vice President
The Vice President shall assume all the duties of the President in his/her absence.
Other duties as assigned by the Board of Directors.
Secretary
It shall be the duty of the Secretary to keep the Articles and By-Laws of the club and have the same with him/her at every meeting. He/she shall note all amendments, changes and additions on the Articles and By-Laws and shall permit it to be consulted by members upon request.
The Secretary shall keep a record of the proceedings of the meetings, keep a roll of members, receive membership applications, carry on all correspondence, read communications at each meeting, and communicate with the members any required notices.
The Secretary shall make minutes and news items available to the members no later then the next meeting.
At the expiration of his/her term he/she shall turn over all items belonging to the club to his/her successor.
Other duties as assigned by the Board of Directors.
Treasurer
The Treasurer shall receive and receipt for all monies paid to the club; keep an accurate account of all monies received and expended; pay no bills without proper authorization (by the club or its officers constituting a business committee).
At the end of each quarter he/she shall submit an itemized statement of disbursements and receipts to the Board of Directors. A monthly summary will be presented at each member meeting.
At the end of his/her term, he/she shall turn over everything in his/her possession belonging to the club to his/her successor.
File all federal and state forms as prescribed by law.
Other duties as assigned by the Board of Directors.
At-Large Board member(s)
He/she shall organize club activities, meeting presentations, plan and recommend contests for operating benefits, and advance club interest and activity as approved by the club

Additional Powers
Any officer of this corporation, in addition to the powers conferred upon him or her by these bylaws shall have such powers and perform such additional duties as may be prescribed from time to time by the Board of Directors.
Article IV: Meetings
Regular meetings shall be held as determined by the membership, but not less than annually for a December meeting. Special meetings may be called by the President upon the written request of any five club member. Notices shall be sent to members concerning special meetings and the business to be transacted. Only such business as designated shall be transacted. Such notices shall be sent so that they arrive not less than 24 hours before the meeting.
At official meetings, a minimum vote of two-thirds of the membership present is required to pass any transaction of business.
Robert's Rules of Order shall govern proceedings.
Article V: Dues
Annual dues per member are hereby assessed as approved at each annual meeting. The club, by majority vote of those present at any regular meeting, may adjust upon the general membership such dues or assessments as shall be deemed necessary for the business of the organization.
Membership dues are payable in March of each year. Any member whose dues are not paid by May 1st will be considered inactive and removed from the membership roster. Inactive members have no voting privileges. Termination of membership either by resignation or expulsion will not constitute a refund of dues paid.
Article VI: Membership
Full membership is open to any person interested in the technical aspects of amateur radio.
Article VII: Elections
Officer elections will be held annually at the regular December meeting. Officers will assume their elected office January 1 of the following year. An officer will be elected with a majority vote at the meeting.
